I work primarily on Corporate, Banking & Finance and Insolvency matters, bringing cross-border experience having worked with leading law firms in both Hong Kong and Singapore. I have advised financial institutions, listed companies and private companies with their loan and security documents, corporate and commercial matters, debt recovery applications and by providing cost-effective solutions to in-house counsel on any commercial matters. I also have experience in estate planning / probate applications on behalf of private clients in connection with Hong Kong assets.

The firm has a billing model of doing away with hourly rates and agreeing fixed, staged and retainer fees with clients. As a trusted advisor and problem solver to my clients, the model allows me to efficiently and effectively work with my clients to structure and execute every transaction keeping their best interests in mind.

Vimal has experience spanning over a decade as a private practice lawyer.

His experience includes acting as Hong Kong counsel to notable international / offshore law firms and he has been on the panel of several Indian Banks in Hong Kong who he has assisted with their lending, taking of security and debt recovery matters.

As a corporate finance lawyer, Vimal finds his passion in the structuring of transactions and the joy of closings. His ability as a problem solver goes beyond corporate finance transactions and includes estate planning for his clients who wish to craft their Wills and/or set up trusts for the benefit of their loved ones.

Banking & Finance

Drafting and reviewing Facility Agreements and Security Documents such as Debentures, Charges over Shares, Charges over Accounts, Assignment of Receivables, Assignment of Rights under Letters of Credit, Mortgages, Corporate Guarantees and Personal Guarantees on behalf of financial institutions based within and outside Hong Kong.

Notable deals

• Representing an offshore bank in connection with a loan of US$260 million to a market leading commodities group domiciled in Singapore which was secured by a Charge over Accounts, Deed of Assignment and a Corporate Guarantee;
• Acting for a large tech company owning intellectual property worldwide in obtaining financing of US$100 million which was secured by an all-assets Debenture and its shares in an artificial intelligence company;
• Assisting with the drafting, negotiation and completion of a security package including two Debentures, a Charge over Shares and a Charge over Accounts in a multi-jurisdictional matter covering assets worldwide; and
• Acting for financial institutions in Hong Kong in their lending and taking of security in trade finance matters involving back-to-back letters of credit transactions.

Insolvency

• Obtaining Winding-up / Bankruptcy orders when acting for financial institutions in Hong Kong in debt recovery matters; and
• Advising and representing creditors / contributories in Winding-up / Bankruptcy proceedings.

Corporate / Commercial

• Representing private companies limited by shares / guarantee in Hong Kong with any company law matters and procedures carried out in accordance with the Companies Ordinance (Cap.622); and
• Acting as company secretary on behalf of private companies limited by shares / guarantee incorporated in Hong Kong.

Estate Planning / Probate

• Advising clients with non-contentious probate / letters of administration applications to the High Court of Hong Kong; and
• Assisting clients with the making of Wills / Enduring Powers of Attorney.
